YELLO ESTATES MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT AVAILABLE ON OR THROUGH THE PORTAL, INCLUDING PROPERTY LISTINGS AND INFORMATION PROVIDED BY THIRD PARTIES. ANY RELIANCE ON SUCH INFORMATION IS AT YOUR OWN RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YELLO ESTATES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PORTAL, ANY CONTENT ON THE PORTAL, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT YELLO ESTATES HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PORTAL OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING OR USING THE PORTAL IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Yello Estates, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Governing Law and Dispute Resolution

Any dispute arising out of or relating to these Terms or the Portal shall be subject to the exclusive jurisdiction of the courts located in Kochi, Kerala, India. You hereby consent to the personal jurisdiction of such courts for any such disputes.

Termination

We may terminate these Terms and your access to all or any part of the Portal at any time, with or without cause and without notice. Upon termination, your right to use the Portal will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yello Estates regarding your use of the Portal and supersede all prior and contemporaneous agreements, communications, and proposals, whether oral or written, between you and Yello Estates with respect to the Portal.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision of these Terms shall be effective unless expressly made in writing and signed by Yello Estates. No delay or omission by Yello Estates in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy or any other right or remedy.
